1. Ownership of Custom Deliverables
Upon full and final payment of all fees due under the applicable Statement of Work (SOW): - The client acquires all right, title, and interest in and to the custom software, unique database schemas, bespoke graphic assets, and specific business logic developed exclusively for the client. - Axivon executes all necessary assignments to vest full ownership in the client.
2. Background Technology & Axivon Core
Axivon retains ownership of its pre-existing tools, software libraries, architecture templates, automation scripts, and generalized code developed prior to or independently of the client engagement ("Background IP"): - Axivon grants the client a perpetual, worldwide, non-exclusive, royalty-free license to use, execute, and modify the Background IP solely as incorporated into the client deliverables.
3. Open-Source Software
Our engineering solutions leverage established open-source libraries (e.g., Next.js, React, Tailwind CSS, PostgreSQL, Prisma). All open-source software remains governed by its respective licenses (e.g., MIT, Apache 2.0, BSD). Axivon ensures no restrictive "copyleft" licenses (such as GPL v3) are integrated into proprietary client codebases without prior written consent.
4. Portfolio Display Rights
Unless an explicit non-disclosure agreement (NDA) or white-label contract prohibits publicity, Axivon reserves the right to display a brief summary of the completed work, client logo, and screenshots in its engineering portfolio and marketing materials.
